Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your use of the services provided by Deskless Ltd (“Deskless”, “we”, “us”). By engaging our services, you agree to be bound by these Terms.
2. Services
Deskless provides AI-powered business automation services, including but not limited to:
- AI agent deployment and management on WhatsApp and other channels
- Lead qualification and routing automation
- Invoice chasing and payment follow-up automation
- Appointment booking and calendar management
- Custom workflow automation
Services are delivered on a managed basis. We handle all technical infrastructure, monitoring, and maintenance.
3. Client obligations
You agree to:
- Provide accurate information about your business, services, and pricing
- Maintain an active WhatsApp Business account (where applicable)
- Respond to requests for information or approvals in a timely manner
- Not use our services for any unlawful purpose
- Comply with WhatsApp's terms of service and acceptable use policies
4. Payment terms
Implementation fees are payable upfront before work begins. Monthly subscription fees are billed in advance on the first of each month. All prices are in GBP and exclusive of VAT unless stated otherwise.
Late payments may incur interest at 4% above the Bank of England base rate. We reserve the right to suspend services for accounts more than 14 days overdue.
5. Service levels
We aim to maintain 99.9% uptime for all AI agent services. Planned maintenance will be communicated at least 48 hours in advance. We monitor all agents 24/7 and aim to resolve critical issues within 60 minutes.
6. Intellectual property
All AI models, code, infrastructure, and systems remain the intellectual property of Deskless. Your business data, customer data, and content remain your property. We claim no ownership over your data.
7. Limitation of liability
To the maximum extent permitted by law, Deskless shall not be liable for any indirect, incidental, or consequential damages arising from use of our services. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
AI agents may occasionally produce incorrect responses. While we continuously monitor and improve performance, we do not guarantee 100% accuracy. Human oversight is recommended for critical decisions.
8. Termination
Either party may terminate the agreement with 30 days' written notice. Upon termination:
- All AI agents will be deactivated
- Your data will be exported and provided to you upon request
- Data will be securely deleted within 90 days of termination
- Any outstanding fees remain payable
9. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This obligation survives termination of the agreement.
10. Governing law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of our services constitutes acceptance of the updated Terms.
